Information from the complaint filed with the court shows that the plaintiff is alleging on behalf of all who bought American Depository Shares of YPF SA (ADR) (NYSE:YPF) as a result of the company's offering made in March 2011 that YPF SA, some of its directors and officers, plus those who underwrote the company's March 23rd offering are in violation of the Securities Act of 1933. According to the plaintiff, the Form F-3 Registration Statement, plus documents which were included with it, allegedly have multiple statements that aren't true with regards to material facts. The plaintiff is also alleging that the company has neglected to state material facts which were required to be stated on Form F-3 Resistration Statement so that the statements that it contains would not be misleading to investors.
On March 23rd 2011, the Prospectus for the company's initial offering, which is included in the Form F-3 Registration Statement, came into effect and over 26.2 million shares of the company have been sold to investors for $41 per share. This values the YPF SA (ADR) (NYSE:YPF) March 23, 2011 offering at over $1 billion.
Reports made by YPF SA (ADR) (NYSE:YPF) show that the company's total revenue has increased from more than 34.32 billion ARS during 2009 to over 56.69 billion ARS in 2011. Information provided by the company also shows that during the same period, its net income has grown from 2.6 billion ARS to more than 4.7 billion ARS.
The price per share of the company has grown from a low point of $16.91 per share during March 2009 to a high of $52.32 per share in March 2011, when the offering was released to the public.
However, shares of NYSE:YPF have since gone down to as low as $9.57 for each share as reported in November 2012.
On February 5th 2013, the closing price of NYSE:YPF shares has been $16.75, which represents less than half of highest price in the last 52 weeks.
