The investor filed this lawsuit for the benefit of all those who purchased Yum! Brands, Inc. (NYSE:YUM) stock between the dates of October 9, 2012 and January 7, 2013. In the lawsuit, some of the Yum! Brands, Inc. officers and directors are accused of making statements that the investor considers to be untrue and deceptive. These statements relate to the health of the company’s financial and business situation. In the process of making these untrue and deceptive statements, the plaintiff is alleging that the company violated the Securities Exchange Act of 1934. The plaintiff also alleges that the aforementioned statements caused the Yum! Brands, Inc. (NYSE:YUM) stock to increase to more than $74 a share during trading between the dates of October 9, 2012 and January 7, 2013. According to the plaintiff, this was an over-inflated price. 

At the end of the third quarter on September 8, 2012, Yum! Brands, Inc. (NYSE:YUM) announced its results. The company stated that its sales were very strong in China. Because sales were so robust in China and the company was planning to build more than 750 restaurants for the year 2013, this led executives to believe that revenue in China would continue to be vigorous over the long-term. 

Yum! Brands, Inc. made another announcement on November 29, 2012. This time, the company reported what it was expecting in the coming year. The executives reiterated what they reported for last year’s EPS growth forecast. They stated that sales had been slowing in China over the fourth quarter but that international and U.S. sales for Yum! Restaurants made up for those losses. Furthermore, they stated that expectations were for sales to be in negative territory for Chinese same-store sales.

On November 29, 2012, Yum! Brands, Inc. (NYSE:YUM) stock closed at $74.47 a share. By December 4, 2012, the price had fallen to $65.89 a share. 

After further negative announcements, shares of Yum! Brands, Inc. (NYSE:YUM) fell even further to $63.50 a share on December 21, 2012. It closed at $66.39 a share on January 24, 2013.
