The lawsuit was filed for the benefit of the plaintiff as well as everyone who invested in Verisign, Inc. (NASDAQ:VRSN) common stock between the dates of June 25, 2012 and October 25, 2012. According to the lawsuit, Verisign, Inc. and some of the directors and officers allegedly transgressed against the Securities Exchange Act of 1934. Between the dates of June 25 and October 25 in 2012, the investor alleges that the directors and officers overstated the company’s health. Specifically, the investor has a complaint about what was said about the company’s domain name registrations. According to the investor, the domain name registrations were not as strong as the directors and officers would have liked their shareholders to believe they were. Furthermore, the directors and officers also suggested that third quarter renewals were just as strong as the domain name registrations. According to the investor, this was not the case. 

Verisign, Inc. (NASDAQ:VRSN) announced the financial results it had recorded for the third quarter of 2012 on October 25, 2012. At this time, the company also informed the public that it had been in talks with the Commerce Department that month. The company’s .com Registry Agreement was set to expire on November 30, 2012, and Verisign, Inc. was concerned that the Commerce Department would be unable to finish reviewing the agreement. As a result, the company believed that the department may be unable to renew the agreement before the expiration date. The company also announced that the Commerce Department and the Justice Department were both examining the pricing terms that were associated with the Registry Agreement.

Verisign, Inc. (NASDAQ:VRSN) announced that the Commerce Department did succeed in renewing the agreement for the period that begins on December 1, 2012 and ends on November 30, 2018. 

In the early part of October in 2012, the Verisign, Inc. (NASDAQ:VRSN) stock price fell from $50 a share to $33.11 a share as was recorded on November 30, 2012. 

At closing on January 16, 2013, NASDAQ:VRSN was recorded at $39.25 a share.
